SCOPE OF ENGAGEMENT
This SCOPE OF ENGAGEMENT (“SOE”), together with the Agreement between the CDW entity selling the Services described herein (“Seller”) and the customer ordering such Services (“Customer”) shall be deemed to be a contract upon Seller’s acceptance of Customer’s order.
SELLER RESPONSIBILITIES
Includes the following tasks:
• The system required for install will be unboxed
• The system will be thoroughly inspected for physical damage or blemishes
• The system will be powered on and inspected for hardware and/or software errors
• The installed components will be tested for compatibility and functionality
• Any defective system will be replaced from CDW’s inventory
• Upload and store the CDW created or Customer created image on secure imaging servers
• Process and test the image by an advanced team of imaging specialists before it is cleared for deployment
• Create an individual configuration instruction set for each image to ensure that the unique configuration is carried out the same way each time the image is deployed
• Deploy a CDW created or Customer created image onto a single desktop or notebook computer
• Perform basic validation
• Archive all outdated or unused images to allow for future use for a period of one year. After one year the image will be deleted from Seller’s database
• All image orders undergo a series of quality control steps to verify the orders were configured to the customer’s exact specifications
• A successfully imaged system is re-boxed for shipment
CUSTOMER RESPONSIBILITIES
Includes the following tasks:
• Provide image to Seller via FTP upload or by sending to Seller on a USB drive or an imaged device using Seller's RMA process
• Complete an Image Processing Questionnaire (available from your CDW Account Manager)
• Electronically sign the CDW Installation Indemnity Agreement at https://www.cdw.com/forms/indemnity/app.aspx
• Provide licensed operating system and licensed software application that can be imaged onto a desktop or notebook, and is supported by the hardware manufacturer
ASSUMPTIONS
• Seller’s Account Manager will create install configuration and include service part number(s)
• Seller’s Account Manager will enter the specific image name to deploy and any additional instructions in the Installation Notes of the order
OUT OF SCOPE
• Installation of any hardware components (available as a separate service)
• Installation of any application software (available as a separate service)
• Domain join (available as a separate service)
• Creation of a Custom Master Image (available as a separate service)
• Image Maintenance - periodic updates to the image (available as a separate service)
• Any performance tuning, system optimization or similar activities
• Performing any Services not specified herein
SERVICES FEES
The fees due under this SOE include fees for Services and related expenses, as specified in the applicable order
PROJECT-SPECIFIC TERMS
Any changes to this SOE shall require a Change Order executed by both parties.
CONTACT PERSON
Each party will appoint a person to provide approvals/decisions (“Contact Person”)
TERMS AND CONDITIONS
This SOE shall be governed by Seller’s “Terms and Conditions of Product Sales and Service Projects,” which are accessed via the Terms and Conditions link on Seller's website (the “Agreement”) and are incorporated herein
